SEJE Statutes

 

1

NAME

1.1

The name of the society is "Society of the European Journal of Endocrinology” (hereinafter SEJE).

1.2

The members of the Executive Committee of the European Society of Endocrinology (hereinafter ESE) shall automatically be the members of SEJE.

1.3

The domicile of SEJE shall be in the municipality of Gentofte, Denmark. The domicile may be amended if so decided by SEJE and approved by the Executive Committee of ESE.

AIMS

2.1

The aims of SEJE are to publish the official journal(s) of ESE in order to further endocrinological science.

2.2

SEJE is a not-for-profit society.

   

3

ASSETS

3.1

SEJE is the holder of all intangible rights including editorial and publishing rights concerning the journal "European Journal of Endocrinology" (“the Journal”).

3.2

SEJE furthermore owns funds, bonds and shares.

   

4

SEJE STEERING COMMITTEE (”the Committee”)

4.1

Unless otherwise expressly stated in these statutes the Committee has the ultimate authority to decide on all matters concerning SEJE.

4.2

The Committee reports to the Executive Committee of ESE.

4.3

The Committee shall comprise of the following five members

i)  

CHAIRMAN: the current Chairman and thereafter a member of the ESE Executive Committee selected by that Committee who shall not be the President.

ii)

TREASURER: the Treasurer of ESE for the time being.

iii)

EDITOR-IN-CHIEF: the Editor-In-Chief for the time being who shall be the SECRETARY.

iv)

The DEPUTY EDITOR-IN-CHIEF: the Deputy Editor-In-Chief nominated in accordance with Statute 6.3 for the time being.

v)

One MEMBER WITH EXPERIENCE OF SCIENTIFIC PUBLICATION to be nominated by the Committee subject to approval by the ESE Executive Committee. He/she cannot be a current member of the ESE Committee or the Editorial Board. This latter appointment shall be for four (4) years, renewable for a maximum of one additional period of four (4) years.

4.4

The Editor-In-Chief will be responsible for keeping the books and records of SEJE.

4.5

The Treasurer will review the accounts of the running costs and the assets of SEJE and will prepare the annual accounts and balance sheet of SEJE.

COMMITTEE MEETINGS

5.1

The Committee is either convened, or consulted by mail or email, by the Chairman or the Editor-in-Chief.

5.2

An ordinary meeting of the Committee shall be held annually, preferably in conjunction with an editorial board meeting.

5.3

An extraordinary meeting shall be held when deemed necessary by the Chairman, the Editor-In-C hief or the Treasurer.

5.4

The agenda is prepared by the Chairman and the Editor-In-Chief after consultation with the other members of the Committee. The following items must be included in the agenda of and minutes from ordinary meetings:

i)

Annual report from the Editorial Board.

ii)

Approval of the annual accounts.

iii)

Editorial strategy for the coming financial year.

iv)

Approval of the composition of the Editorial Board.

v)

Budget plans for the coming financial year.

5.5

The Chairman or the Editor-In-Chief convenes the meeting and distributes the agenda and any relevant documents no later than one (1) month prior to the meeting.

5.6

The minutes of the meeting, showing the agenda, the members present and absent, and the decisions taken, are distributed by the Editor-In-Chief to all members of the Committee no later than one (1) month after the meeting. If no comments or corrections are received within one (1) months following distribution, the minutes of the meeting are taken as tacitly approved. They are sent to the President and Secretary of the ESE Executive Committee.

5.7

When a mail vote is found necessary by the chairman and the editor-in-chief the latter will canvass all members of the Committee. The outcome of the vote shall be made known within one week in writing and to all members of the Steering Committee and the president and the secretary of ESE.

THE EDITORIAL BOARD - ELECTION AND ASSIGNMENT

6.1

The Editorial Board has the authority to decide on all matters related to editorial procedures in accordance with the ethics, strategies and budget of SEJE.

6.2

The Editorial Board consists of the following voting members:

the Editor-In-Chief,

the deputy Editor-In-Chief, and

Editorial Board members appointed pursuant to Statute 6.3.

At least one (1) year before the end of the current Editor-In-Chief’s appointment, the vacancy will be advertised in the Journal, in the ESE newsletter and elsewhere as appropriate. The Committee will appoint a search committee, co-opting other members as necessary. After a decision by the Committee, final approval is the responsibility of the Executive Committee of ESE. The costs of the search will be met from SEJE funds.

6.3

The Deputy Editor-In-Chief is nominated by the Editor-In-Chief and elected by the Editorial Board. The appointment must be approved by the Committee and the Executive Committee of ESE.

6.4

The Editor-In-Chief is responsible for handling all matters of publication from the receipt of a manuscript according to the directions issued by the Committee. He will act as chairman of the Editorial Board while the Deputy Editor-In-Chief will act as secretary of the Editorial Board.

6.5

The members of the Editorial Board are appointed for a four (4) year period. Individual appointments must be approved by the Committee. Reappointment may take place for only one (1) additional period of four (4) years.

6.6

All decisions are made by a majority vote of all voting members of the Editorial Board. Each member has one (1) vote. In the case of an equal division of votes, the Editor-In-Chief will have the casting vote.

6.7

Associate editors may be appointed at the discretion of the Editorial Board to cover fields not covered by the Editorial Board. Associate editors may attend meetings of the Board but have no voting rights.

EDITORIAL BOARD MEETINGS

7.1

The Editorial Board is either convened, or consulted by mail or email, by the Editor-In-Chief.

7.2

An ordinary meeting of the Editorial Board must be convened at least once a year and, when appropriate, at the time and location of the meeting of the Committee.

7.3

An extraordinary meeting of the Editorial Board must be convened by the Editor-In-Chief within one week upon the written request of a majority of voting members.

7.4

An agenda is drawn up by the Editor-In-Chief after consultation with the other members.

The following items must be included in the agenda for ordinary meetings of the Editorial Board:

i)

Annual report covering the calendar year preceding the meeting presented by the Editor- in-Chief

ii)

Editorial procedures

iii)

Editorial policy

iv)

Changes in the composition of the Editorial Board

7.5

The Editor-In-Chief convenes the meetings and distributes the agenda and any relevant documents no later than one (1) month before the meeting.

7.6

The minutes of the meeting are distributed by the Deputy Editor-In-Chief as secretary no later than one (1) month after the meeting. If no comments or corrections are received within one (1) month following their distribution, the minutes are taken as approved. They are then sent to the members of the Committee.

7.7

When a mail or email vote is necessary, the Editor-In-Chief will canvass all members of the Editorial Board and of the Committee. The outcome of the vote will be made known within one (1) week in writing and to all members of the Committee and the President and the Secretary of ESE.

   

8

AUTHORITY TO BIND SEJE

8.1

SEJE shall be bound by the signatures of the Treasurer together with either the Chairman of the Committee or the Editor-In-Chief.

LIABILITY

9.1

SEJE is only liable for its debts to the extent that such a liability can be covered by the assets of SEJE.

9.2

Members of the Committee, ESE, members of the Executive Committee of ESE and the Editorial Board are not in any way liable for the debts of SEJE.

   

10

ACCOUNTING YEAR, DIVIDEND, RESERVE FUNDS, ETC

10.1

The accounting year shall be the calendar year.

10.2

The funds of SEJE shall serve as a reserve fund for the continuation of SEJE. The Committee shall seek to ensure that the value of the reserve fund equals the annual total expenditure of SEJE averaged over the previous three (3) years, after providing for annual inflation applying the official inflation rate in the country of administration of SEJE. Expenditure is defined as the total fees paid to the publisher plus any SEJE publishing-related expenditure.

10.3

No part of the surplus may be transferred if the reserve fund is less than the level stated in 10.2 above.

10.4

Cash dividend may be given only for the purpose of furthering endocrinology, and only to ESE.

10.5

The accounts of income and expenditure of SEJE are kept by the publisher, reviewed by the Treasurer and approved by the Committee.

10.6

The annual accounts will be audited by a chartered accountant nominated by the Committee and approved by the ESE Executive Committee.

AMENDMENTS TO STATUTES

11.1

Amendments to these statutes can only be proposed by the Committee or by the Executive Committee of ESE.

11.2

Adoption of amendments requires not less than 75% majority vote of all members of both Committees voting in person [or by proxy]. No member shall have more than one (1) vote.

   

12

DISSOLUTION

12.1

The dissolution of SEJE may only be proposed by the Committee and decided by the members of the Committee and the Executive Committee of ESE acting by a majority of not less than 75% of all members voting in person [or by proxy].

12.2

In the case of dissolution of SEJE, no Member may receive any monies or other property belonging to SEJE. All monies or other property shall be given either to ESE or, if ESE no longer exists, to an organisation with similar aims to ESE.
